The following terminology applies to these Terms and Conditions, Privacy Statement and Disclaimer Notice and any or all Agreements: “User", “You” and “Your” refers to you, the person accessing this website (registered and non-registered) and accepting the Company’s terms and conditions. "The Company", “Ourselves”, “We” and "Us", refers to our Company, BidZZo Co. Ltd. “Party”, “Parties”, or “Us”, refers to both the User and ourselves, or either the User or ourselves. All terms refer to the offer, acceptance and consideration of payment necessary to undertake the process of our assistance to the User in the most appropriate manner, whether by formal meetings of a fixed duration, or any other means, for the express purpose of meeting the User’s needs in respect of provision of the Company’s stated services and products, in accordance with and subject to, prevailing English Law. Any use of the above terminology or other words in the singular, plural, capitalisation and/or he/she or they, are taken as interchangeable and therefore as referring to same.

We reserve the right to change or modify any of the terms and conditions contained here or any policy or guideline of the Site, at any time and in our sole discretion. Any changes will be effective upon posting of the revisions on the Site. Changes to referenced policies and guidelines may be posted without notice to you. Your continued use of this Site and the Services following our posting of them will constitute your acceptance of such changes. IF YOU DO NOT AGREE TO THESE TERMS OR ANY MODIFICATION, DO NOT REGISTER OR CONTINUE TO USE THE SERVICES OR THIS SITE.

This Contract only covers the parties it intends to. Non-consumers who are in a business relationship with the Company cannot avail themselves of any of the rights given under this Contact and it would be wholly inappropriate for them so to do. These Terms and Conditions apply exclusively to the business relationship between:

1. the Company, including its WebSite, and

2. its Registered Users.

1. DEFINITIONS

Account means the general sense of the word; the collection of money, services, Credits (both Free and Paid) on behalf of a Registered User of the WebSite.

Administration Fee means a fee that is charged to any Registered User for administration of his Account that occurs outside of the Company's main interests.

Auction refers to an electronic time-critical Auction of a Product, on which all Registered Users may Bid.

Bid refers to the action of spending one or more Credits on an Auction.

Credits or Credit Packs refer to the intangible currency which a Registered User may purchase, or otherwise acquire, in order to Bid on Auctions on the WebSite.

Payment Options means the options available to a Registered User to pay for Auctions, Credits, Products or any Services supplied by the Company. The options available include Credit Cards, Debit Cards, and PayPal.

Product means any currency, item, product, service, invitation or thing listed on the WebSite.

Promotions means the different and varied invitations to purchase displayed on banners, in videos and through text which are offered permanently and/or periodically by the WebSite. Promotions can include but not limited to Buy One Get One Free offers, promotions which give free prizes and promotions that give a % discount or % of extra Credits upon purchase of a particular Credit Packages.

Registered User refers to any person that has registered as a User through the WebSite.

Time Period for Payment of Winning Bid means any time within seven (7) days of a Winning Bid.

User or Bidder refers to any person who places a Bid on any item on the WebSite.

Win Limits means the amount of Products a User may win within a certain time period.

WebSite or Site refers to www.bidzzo.com. WebSite is owned and operated by BidZZo Co. Ltd, 3RD FLOOR, 207 REGENT STREET, LONDON, W1B 3HH

Winning Bid Price Means the highest unique price of any auction when the Countdown Timer has reached zero.

Winning Bidder means the Registered User who placed the Winning Bid Price on any Auction.

Valid Jurisdiction the United Kingdom, or any other jurisdiction you are the resident of, provided however, that you or we are not prohibited or limited in any way to operate or use the Site under the laws of such jurisdiction.

2. ELIGIBILITY

The Services may only be used by persons who can enter into legally binding contracts under applicable law for the purchase of goods or services. Consequently, persons under the age of 18 may not use the Services and should not register. You may be required to provide proof of your identity and age before receiving a Product you have won. Any Bids by persons under the age of 18 will be deemed invalid and Bid Fees paid will not be refunded to you in such circumstances. To participate in the bidding process, we may require a valid payment method which will be processed through our third party payment gateway. We use this information to charge you for fees due to us for your purchases of bids and to verify your name, address, and other information. Your payment information is not disclosed in aggregate or otherwise to any unauthorized third party but may be disclosed for resolving billing disputes with your credit card company.

The target market for this service is the United Kingdom.

3. CONTRACTUAL OBLIGATIONS

The auction process is a method in which the Site solicit offers from buyers for the sale of products. By submitting bids, you are making a legal offer to buy the product. Once accepted by the Site, a contract is created between the buyer and the Site for the sale and purchase of the product in accordance with the terms disclosed at the time of the auction. By using the Services and bidding on a product, you agree to complete the transaction as described and fulfil any and all contractual obligations.

4. SYSTEMS

You agree not to interfere with the Site or any transaction. You agree not to impose any unreasonably or disproportionately large load on the Company's systems or facilities. You agree not to put any material on the Site that contains any viruses, Trojan horses, worms, time bombs, cancel bots or any other computer programming routines that may damage, interfere with, surreptitiously intercept or expropriate any system, data or personal information.

5. REGISTRATION OF ACCOUNT

5.1 Creating an Account

To make an account, you must create a username and enter a valid e-mail address which is not offensive or misleading, does not offend common decency and does not infringe upon the rights of any third parties. User accounts created during registration are non-transferable and may be used by you only. You are solely responsible for your profile and any activity on it, and must keep your password and login confidential and secure at all times. If you become aware of any unauthorised use of your profile or password, you must notify Us immediately using our contact us form. You acknowledge and understand that we will not be liable for any losses or damages caused by any unauthorised use of your profile or logins.

We reserves the right to at any time temporarily or permanently disqualify a User for violating these terms. Users will be disqualified when, in the Our reasonable opinion, a User has violated any law, regulation or equitable interest in favour of a third party, such as protecting Users and the Service from manipulation. Examples of the foregoing include, but are not limited to, (i) Collusion, (ii) the use of unauthorized bidding software, or (iii) establishing several user accounts for the same person. Moreover, we reserves the right to cancel unauthorized BidZZo account or accounts that have been inactive. Each User agrees not to hold Us responsible for any loss incurred as a result of such action.

After registration, Registered Users will be able to buy Credit Packs by using the available payment methods. These Credits can then be used to bid on our auctions.

We reserve the right to take whatever action we consider appropriate if you have acted fraudulently in instituting a chargeback.

Subject to Clause 13, Credits are non-refundable and hold no monetary value.

5.2 User Verification

A Registered User recognizes that, in order to effectively police the operations performed on the Company's WebSite, the Company may need to verify a Registered User’s identity. If a Registered User is requested to provide proof of their identity, this becomes an obligation which may need to be fulfilled before they can continue using the full services of the WebSite or a won auction item is dispatched.

The Company reserves the right to verify the identity of any Registered User at any time, using all reasonable endeavours. This Right to Verify extends to a temporary hold being placed on the activities of any Registered User whilst the necessary verification is carried out.

The Company has the right to request that a Registered User provide a scan of photo ID, proof of address and/or other documentation reasonably required for verification purposes.

Scanned ID will need to be in the form of:

  • Citizen Card (or other cards with the official PASS hologram)
  • Armed forces identity card
  • Police warrant card/badge
  • Government-issued identity card

Proof of Address

  • Recent Utility Bill – Gas / Electric / Water / Sky/ Telephone / Home Broadband (within the last 6 months)
  • Please Note: Mobile Phone Bill will not be accepted.
  • Statement or Letter from Bank / Building Society / Credit Card / Mortgage / Insurance / Investment / Savings company (within the last 3 months)
  • TV Licence
  • Council Tax Bill
  • House or motor insurance certificate
  • Recent Vehicle registration / Tax renewal document
  • Current State Pension book / Notification letter
  • Current Benefits Agency Book / letter
  • Current Local Authority Rent Card
  • Housing Association/Public Letting Agency/Council tenancy letter or agreement
  • Bank / Building Society / Credit Union Statement or passbook
  • Credit Card Statements from main provider (within the last 3 months)
  • Official Documentation from Her Majesty’s Revenue And Customs (this does not include P60's)
  • Letter from nursing/care home confirming residency
  • Letter from Benefits Agency confirming rights

All personal, identifiable information is processed in accordance with our obligations under the General Data Protection Regulation.

5.2.1 Notify the Company if Refusing to Provide Proof of Identity

A Registered User who the company has requested to provide proof of identity has the Right to refuse.

If so, the Registered User must notify the Company within fourteen (14) days of the Company's request of their refusal. If the Registered User refuses to supply the identification documents, that Registered User understands that the Company will withdraw their Acceptance of their Offer(s) to buy any Auctions or Products.

In the event that the Registered User:

1. has not supplied identification documents;

2. has paid for an Auction, or Product; and

3. has not had it delivered to them due to their refusal to confirm their identity.

the Registered User may opt to be refunded the amount(s) paid in full for those non-delivered goods.

5.3 Restrictions on those Associated with the Company

It is expressly forbidden for a Company:

1. employee,

2. Director, or

3. Relative of an employee or Director.

To use the WebSite in the manner of a Registered User.

No person who is associated with the Company under this section can agree to this Agreement, and none of the protections or rights herein are extended to a person associated with the Company.

This restriction extends to the creation of an Account by associates, partners or friends of any of the above persons, with the intent to purchase Credits and bid on Auctions legitimately.

The Company is committed to a level playing field for all Registered Users. To this end, no-one associated with any of the above persons may agree to these terms, become a Registered User and/or use the WebSite.

6. PRODUCTS

All Auctions for Products, and all Products sold on the WebSite are not intended for resale or Commercial use. All Products are supplied on the basis they are fit for any reasonable purpose to which the Winning Bidder may put them.

6.1 Product Descriptions

The Product descriptions placed by the Company on its WebSite do not constitute contractual terms of purchase. Whilst in the vast majority of cases, these descriptions will fairly and accurately describe the Product, any Registered User should confirm the Product Specification from the Manufacturer's web site before placing a bid on the Product.

6.2 Product Images

The images of Products on the Company's web site are for illustration only unless specifically stated on the auction details page. They are often publicity photographs or stock photographs and they are rarely of the actual Product the Winning Bidder will receive.

6.3 Faulty Products

The Registered User upon delivery must immediately inspect any Products he purchases from the Company and In the event that a Registered User expresses that a Product has been damaged in transit or defective, the Company may arrange for a replacement Product to be shipped. The Registered User must ensure that they contact us to raise the matter with the Company within fourteen (14) days. After this time, The Company does not accept responsibility for any damaged or defective products and the Product cannot be returned to the Company. The Registered User must contact the Product's manufacturer directly in case of discovery of damage or defect.

If the Registered User does not return the damaged or faulty Product within thirty (30) days, the Company will suspend the Registered User and may take Court proceedings in respect of the unreturned faulty Product.

6.3.1 Procedure for Return of Faulty Product

A Registered User must e-mail Us using our contact us form before sending the Product back to the Company.

He must also return:

1. the entirety of the Product,

2. all of the associated packaging and

3. all documentation warranty information.

6.4 Incorrect Products

The Company or its delivery partners may, in very rare situations, send an incorrect Product to a Registered User. To ensure that the mistake is remedied as quickly and as smoothly as possible, it is important in these situations that the Registered User contacts Us using our contact us form. The Registered User must return the incorrect Product unopened immediately and within five (5) days of reporting the issue to the Company by email only.

If the Registered User does not return the incorrect Product within thirty (30) days, the Company will suspend the Registered User and may take Court proceedings in respect of the unreturned Product.

6.5 Failure to Return Product

Failure to return a damaged, defective or incorrect Product within the prescribed period will give the Company the right to refuse to issue a replacement.

6.6 Cooling-off Period

Subject to the provisions of these Terms and Conditions, you may return the products received without specifying any reasons within seven (7) days of receipt. The 7-day period commences on the day of receipt of the order.

6.7 Disclaimer

All other warranties and conditions (both express and implied) as to quality, condition or description (statutory or otherwise) are disclaimed to the fullest extent permitted by law.

6.8 Liability for Personal Injury

If a defective Product supplied by the Company causes damages to property, death or personal injury, the customer should refer to the Product's manufacturer.

7. AUCTION BIDDING PROCESS

7.1 Bidding

Bidding on an Auction can only be performed by a Registered User of the WebSite.

7.2 Auction Hours

All highest unique auctions do not have auction hours unless specifically stated in the auction.

7.3 Credits Deducted

Each Auction will show information to Registered Users how many Credits will be deducted per Bid. After a Bid is processed by the WebSite, the number of Credits is deducted from the Registered User's account. Credits deducted cannot be returned to the Registered User.

7.4 Price Scroller

The company provides a price Scroller for selecting bids.

7.4.1 Manual Bidding

The company provides a bid box for manual input of bids.

7.5 Start Time and Price

All Highest unique auctions begin immediately and the price (Max Price) which is the value below which all bids are offered is stated for each auction.

7.6 Countdown Timer

Highest unique auction displays a Countdown Timer which will display ‘Waiting…’, once the ‘Bid Quota’ set for the auction is close to 0 the countdown timer will start to count down from 12:00:00 (12 Hours). When the countdown timer reaches 00:00:00 the auction will end.

7.7 Auction add-ons

The 'Highest Unique' auction shall be the main auction, but there might be add-ons available with an auction, such as:

Free Shipping – There will be no shipping & handling charge for this auction.

100% off – The winner of this auction will not need to pay the final auction price.

Reward Auction – Only Users with reward time can participate in this auction.

Beginner Auction – Only Users who have not yet won their first auction can participate.

7.8 Bids Quota

Means the amount of bids set for an auction.

7.9 Ruled Out Bid System

A User’s bid will be ruled out so that the bid can no longer win an auction if the bid is 4th in a row of unique bids in the top 10 and/or 10th in a row of unique bids in the top 50 of the leader board. The purpose of this system shall be to try and prevent Users from dominating and intimidating other Users by having multiple unique bids in a row. Further, it shall make it a fairer playing field for the Users.

7.10 Auction Winners

The Registered User who has placed a bid that is the highest unique (1stplace on the leaderboard) when the Countdown Timer reaches zero is the auction winner. This User will be able to accept to purchase the Product for the ended Auction Price plus Shipping and Handling (If Applicable).

The Registered User who has the 2ndhighest unique bid once the Countdown Timer reaches zero will get awarded £20 to their E-Wallet.

The Registered User who has the 3rdhighest unique bid once the Countdown Timer reaches zero will get awarded £10 to their E-Wallet.

In the event that there are no Unique bid prices left at the end of an auction, our system shall determine the 1st Place winner of the auction considering the 2nd and 3rd place winners for our Multi-Winner system by the Users who placed the first bid on the 3 highest bid prices that have the fewest User bids.

7.10.1 Multi Winner System

All auction have a 1st place winner that will win the product/service being auctioned, however the Users that have the 2nd and 3rd highest unique bid shall be rewarded with funds in their E-Wallet, subject to the following rules:

The rules are that 1st place winner will not receive the 2nd or 3rd place reward and 2nd place winner will not receive 3rd place reward. This is to keep it fair and ensure that there are always 3 different winners per auction.

7.11 Disputes over Winner

The Auction Winner is determined by the Company's records. In the rare event of any dispute occurring, it is the Company's decision on who placed the unique Bids on the Auction. The Company's decision will be final.

7.12 Win Limits

In order to ensure a level playing field and a fair chance for all Registered Users we operate a Win Limit restriction, and will restrict a Registered User from continuing to Bid on the WebSite, or on specific Products on the WebSite, in accordance with these Limits. These Limits are prominently displayed on the WebSite and are an integral and indivisible part of these Terms and Conditions.

7.12.1 No Requirement for Notice

Win Limits may be amended by the Company at any time, without notice to any Registered User.

7.12.2 Auctioned Credit Pack Limit

A User who wins a Credit pack, shall not be eligible to participate in further auctions for Credit Packs until he has exhausted Credits in his account to the same amount of the won Credit Pack.

7.13 Inactive Auctions

If there is no activity on an auction for a period of at least 72 hours, that auction will be ended. If an auction is ended prior to the quota of Bids being met, All Bid Credits in relation to that auction will be refunded to the account of all Users that Participated for use in other auctions.

7.14 Contract for Sale/Purchase of Product

By placing a Bid in an Auction, a Registered User is agreeing to purchase the Product featured if he has the Winning Bid in that Auction. You are furthermore committing yourself to pay the Winning Bid Price plus Shipping and Handling (if Applicable) within the Time Period for Payment of Winning Bid. If the Registered User does not make payment within this period seven (7) days, then:

the Registered User forfeits his right to buy the Product, and

the Company has the right to retain ownership of the Product.

8. CREDITS

Credit can be purchased in Credits Packs at the currently applicable prices listed on the WebSite. Credit Packs can be purchased by Credit and Debit card, PayPal or via the Users E-Wallet funds. All Credit Package prices are displayed inclusive of VAT.

A contract for the supply of the Credit Packs comes into being when the Registered User indicates the Credit Pack he wishes to buy, agrees to pay by one of the specified Payment Options, and confirms his decision to proceed.

A contract is then formed between the Registered User and the Company in respect of the supply of that Credit Pack. The contract is concluded by means of the Payment Process being completed, and the Registered User's account being credited with Paid Credits to the value of the Credit Pack purchased. All bought Credit Packs are non-refundable. However a Refund can be given if the request meets the terms set out in these terms and conditions.

8.1 Paid Credits Value

The value of a Paid Credits is £1 (one pound)

8.2 Free Bids Value

The cash value of free bids is £0.00

8.3 Credit Validity

All types of Credits have a time limit, after which they will expire. On expiry they will disappear from the Registered User's account. Free bids expire thirty (30) days after they are claimed. Paid Credits disappear one hundred and eighty (180) days after they are purchased.

9. PROMOTIONAL COUPON CODES

The Company will run promotions, in which it offers a number of deals and discounts in relation to the purchase of Credit Packs or the use of Coupons. These deals take the form of a Codes (Promotional Code or Coupon Code) which can be entered during the Credit checkout or via the ‘Use Coupon’ page in the User’s My Account Area. Codes must be entered within their stipulated time frame to be valid. Outside of their stipulated time frames, the codes will not operate. Each Code is unique and should be referred to for full details before being entered by a Registered User during the Credit checkout Processor via the ‘Use Coupon’ in the User’s My Account Area.

10. REFERRALS

By referring people to Our WebSite you are rewarded each and every time they purchase Credits. You may refer friends to Our WebSite and be rewarded. The Company offers free bids to any User who refers new Users.

Each time a User successfully refers a friend, the referrer is given an amount of free bid Credits and the referee is also given an amount of free bid Credits for sign-up. Also as part of the referral scheme whenever the referee buys Credits, the referrer will receive a small percentage of the amount paid, this amount will build up for fourteen (14) days then it will become available for the User to transfer to their E-Wallet.

- Your account will receive 3 Credits each time a friend you refer completes the registration process!

- You will then earn 10% of what each friend you refer spends on their first credit purchase!

- You'll then earn 2.5% of what each friend you refer spends on EVERY other credit purchase!

There is no limit to how much you can be rewarded, so you will continue to be rewarded as long as your referred friends keep on purchasing Credits and this friend program is active.

The Company reserves the right to review each referral for possible fraud. You may not refer family members or persons located in your household. Any abuse of the referral system may result in the deduction of fraudulent bids awarded and/or the termination of your account at Our sole discretion.

11. BIDZZO STORE

The Company may in its sole discretion offer select products for direct purchase through the BidZZo Store by using Credit or Debit card, PayPal or via the Users E-Wallet funds. We reserves the right at our sole discretion to limit the number of products per User that may be purchased through the BidZZo Store. Products offered through the BidZZo Store are brand-new, unless specifically stated.

11.1 Right Not to Accept an Offer to Buy in case of Technical Error

In very rare circumstances, a store item price may be incorrectly displayed to a Registered User. Notwithstanding the automated manner by which the WebSite processes payment for a Product, the Company reserves the right not to accept the offer to buy that Product if the store price displayed was incorrect.

11.1.1 Obvious Error

In the case of obvious error with the store price (e.g. if store price is mistakenly listed as zero or one penny) the Company has the right to reject any offer by any Registered User to buy that Product for the price, notwithstanding that the Registered User has completed, and paid for, the Product in question.

11.1.2 Less Obvious Error

In the case of a less obvious error with the item price (e.g. if an item in the store is mistakenly listed as £2 instead of £12), the Company has the discretion to either:

1. reject any offer by any Registered User to buy that Product for the incorrect item price notwithstanding that the Registered User has completed, and paid for, the Product in question; or

2. accept the Registered User's offer.

If the Company opts to accept the Registered User's offer on one occasion, this in no way implies or infers any precedent for the Company's behaviour in relation to any future errors.

11.1.3 Requirement for Company to Communicate Rejection

In any circumstances where the Company rejects a Registered User's offer to buy a Product for the item price in the store, the Company will communicate to that Registered User by e-mail.

1. why the item store price was incorrect and

2. why his offer was not therefore not accepted.

The Company's decision in whether to reject or accept an offer shall be final and, other than the communication due under this term, no further correspondence will be entered into.

11.1.4 Compensation Payable

In all circumstances where the Company rejects a Registered User's offer, it will compensate that Registered User in full within 14 business days by:

1. reversing the transaction, or

2. crediting the exact amount paid by the Registered User to their E-Wallet.

12. COLLUSION

12.1 Definition of Collusion

For the purposes of this Agreement, Collusion includes agreements and co-operation between two or more Registered Users designed to:

1. limit open competition for any Product or Auction;

2. discourage other Registered Users from participating in any Auction,

3. use the WebSite in a way that distracts from its intended purpose, or

4. use the WebSite in a way that has a negative effect on the spirit and enjoyment of the WebSite.

Collusion also includes any activities that give the impression that there is more competition for any Auction or Product than there actually is. Examples of which would be:

1. a group of Registered Users all agreeing to bid on the same Auction (hence giving other Registered Users the appearance that the item is particularly sought after)

2. a group of Registered Users agreeing to split the proceeds of any won Auction and then 'team-bidding' on that Auction (so that one member of the group is not competing with any other members of the group but only with Registered Users outside of that group)

3. a group of Registered Users from the same household, family or group of friends bidding in tandem on the same Auction

4. a group of Registered Users 'pooling' money to bid on one Auction under one identity

5. a group of Registered Users intentionally targeting a single other Registered User

12.2 Investigating Collusion

The Company monitors the Credits spent, the Registered Users spending them and the bids placed by them on all of its Auctions. The Company will investigate any data which indicates Collusion may be taking place.

12.3 Evidence of Collusion

The Company will investigate further if it finds:

1. two or more Registered Users bidding on the same Auction from the same IP address;

2. two or more Registered Users with the same address or Payment Identifier;

3. two or more Registered Users bidding on the same Auction who share common characteristics - i.e. similar usernames, birth dates and geographical locations;

4. patterns between two or more Registered Users only being involved in the bidding for any Auction at times when other Registered Users are not bidding.

This list is not exhaustive.

12.4 Standard of Proof Required for Collusion

The Company will base its conclusion upon a reasonable interpretation of the evidence. If the Company's investigation concludes that there is evidence of collusion on the part of a number of Registered Users, the Company will inform any Registered User it believes has been guilty of Collusion of why it believes that Registered User has colluded and why.

12.5 Disputing Company's Claim of Collusion

Any dispute by a Registered User as to the correctness of the Company's decision that he colluded must be entered into in writing.

If the Registered User believes the Company has not reasonably inferred collusion from the evidence available, no part of this Agreement is intended to interfere with his right to bring a legal action against the Company. However, the Registered User will be restricted to a claim for the cost of the Paid Credits he personally spent on the Auction.

12.6 Disputed Claims

Nothing in section 12.5 will affect, or delay, the Company's right to restart any Auction.

If a Registered User disputes the Company's claim that he colluded in relation to an Auction, the Company retains the right to restart the Auction notwithstanding the dispute. The Registered User's correct course of action in such circumstances is to follow the instructions set out in term 12.5 (Disputing Company's Claim of Collusion).

12.7 Effect of Collusion

In relation to any investigation into Collusion, the Company may reach one of the following conclusions:

1. No evidence of Collusion: No action will be required to be taken and the Company will not restart the Auction.

2. Reasonable evidence of Collusion: the evidence of Collusion is such that a reasonable man would conclude Collusion had taken place.

3. Suspicion of Collusion: It is not necessary for the Collusion to have resulted in any of those Registered Users suspected of colluding to have ultimately won the Auction.

13. RESERVATION OF RIGHTS

We reserve the right to:

13.1 Change the Username of a Registered User

The Company reserves the right to change the username of any User who has chosen a username which the Company is of the opinion that such a Username was chosen for malicious or nefarious purposes, the Company additionally reserves the right to disqualify the Registered User's Account.

13.2 Pause and/or Delete and /or Restart an Auction

The Company reserves the right to Pause and/or delete and /or restart an auction at any time including but not limited due to technical problems and/or in order to investigate suspected irregular and/or fraudulent activity (including use of any automatic bidding programs or other automated or abusive processes or uses).

13.4 Change Auction Times

The Company reserves the right to change the running time of an Auction at any time. The Company can increase an Auction time, so that it runs for a longer period, or decrease it, so that it runs for a shorter period. The Company can change the running time of live, sleeping and scheduled Auctions without notice to any Registered User.

13.5 Amend the Win Limits

The Company reserves the right to change the Win Limits (the amount of Products a Registered User may win within a specific time-frame) at any time.

13.6 Retain Product if Registered User does not pay for it within The Time Period for Payment of Winning Bid

If a Registered User has placed the Winning Bid Price on an Auction, but does not pay for that Auction within the Time Period for Payment of Winning Bid, the Company reserves the Right to retain the Product in its entirety;

13.7 Alter Terms and Conditions

The Company reserves the Right to make changes to these Terms and Conditions at any time. Amended Terms and Conditions will need to be accepted for any Registered User to continue to use the Company's Web Site.

13.8 Return of Paid Credits and Closing Price in the Event of Auction Restarts

If the Company needs to restart an Auction in the event of a Site Attack or due to any other technical problem), a Registered User shall be credited back all Paid Credits he spent on an Auction.

There is no Right to the return of free bids.

Furthermore, if a Registered User received an automatic email notification of his 'win' - and was able to complete the Payment Process, he has the right to the return of the closing price he paid, plus the Shipping and Handling costs.

13.9 Refuse Discussions with Non-Account Holders

The Company will discuss any Account with the Registered User named on that Account.

An Account is operated by an individual person, who is the Registered User of that account. The Company will never discuss an Account with any person who is not the Registered User of that Account.

13.10 Restrict Number of Accounts in any Particular Household

The Company reviews the logs of the Auctions it runs regularly. The Company takes collusion, and what it perceives as collusion, very seriously. Members of the same household must not bid on the same Auction, as this could be perceived by the Company as a collusive operation. To this end, the Company reserves the right to restrict the number of Accounts that may be registered to a particular household.

13.11 Disqualify Registered User: User Verification

This term applies only to a Registered User who does not supply the necessary documentation for Proof of Identity within fourteen (14) days of the Company's request.

In such a case, the Company has the right to permanently:

a. withdraw any Acceptance to sell any Auction or Product to that Registered User,

b. suspend and/or permanently remove the account of that Registered User,

c. prevent that Registered User from purchasing further Credits,

d. prevent that Registered User from bidding on auctions and/or products and services.

take any further reasonable actions at the Company's discretion in respect of that Registered User.

13.12 Refuse "But For" Correspondence

The Company shall not be liable for faulty operation of computer hardware or software processing during the Bidding Process. The Company will not entertain a Registered User who claims that “but for” such an event, he would have won a particular Product in place of the actual Winning Bidder. A Registered User will have no rights over any Product in such circumstances.

13.13 Investigate Auctions for Possible Collusion

The Company reserves the right to investigate any Auctions for evidence of Collusion between two or more Registered Users.

13.14 Notified if Company Determines Collusion

A Registered User shall be notified if the Company concludes he has been guilty of Collusion. He shall be told why the Company believes he has colluded. He has the Right to dispute the Company's claim.

13.15 Restart Auctions in the Event of Finding Collusion

The Company reserves the right to restart Auctions, if the Company finds evidence of Collusion in the event that Collusion has been perpetrated by two or more Registered Users.

14. NOTIFICATION, ACCEPTANCE PAYMENT OF WIN

After the auction has ended, the highest unique bidder ('winner') shall receive an email, with all of the important information such as the total price, the payment details, etc. The User must actively confirm/accept the win by following the steps indicated on that page or elsewhere on the WebSite. As soon as the winner has paid the total amount reflected on the 'payment page', the win is accepted. The winner will also receive a notification of the win by e-mail with a request for payment.

The User must pay the total price final Winning Price plus Shipping and Handling (If Applicable) no later than seven (7) days after the notification of the win is sent. After this deadline has passed, we can declare a rescission of the contract to the User, which results in revocation of the User's right to delivery of the item. There is likewise no entitlement to replacement of any of the bids used in the auction.

The Company is not responsible for stolen or lost items. In the event that a product is stolen or lost, we will do our best to help Users upon request, by providing tracking, as well as screenshots or copies of the sales receipt and possible shipping confirmation, if available.

15. CONSUMER RIGHTS

You may cancel the Contract at any time within seven (7) working days, beginning on the day after you received the Product. In this case, you will receive a full refund of the Winning Bid Price in accordance with our refunds policy. For the avoidance of doubt it is clarified that you will not be entitled to a refund on any Credits used to bid in the Auction.

To cancel the Contract, you must inform Us in writing or via email. You must also return the Product to Us immediately, in the same condition in which you received it, and at your own cost and risk unless the Product is faulty, in which case we will bear the cost of returning the same. You have a legal obligation to take reasonable care of the Product while it is in your possession. If you fail to comply with this obligation, we may have a right of action against you for compensation.

You will not have any right to cancel a Contract for the supply of audio or video recordings or computer software that you have unsealed. These items are not eligible for return or refund, unless the item is faulty or not as described.

These provisions do not and may not affect or derogate of your statutory rights.

16. PRICE AND PAYMENT

You warrant that you are the owner of the credit/debit card and are authorised to make use of it for the purposes of purchase Credits as stated above.

A Registered User is offered a number of methods to make payment for products Won, Credits and on the BidZZo store. These methods cannot, and must not, be used over different Accounts held with the Company.

Should a payment not be honoured, a returned payment fee will be charged, and you hereby authorise Us to deduct such fees from your account. You will be responsible for these fees should there be insufficient funds in your account. We reserve the right to block access to your account and/or to withhold any outstanding deliveries until full payment for any Product, including any fees due to returned payment, has been paid.

17. FALSE CHARGEBACK

Chargeback or Denial of Transaction by a card holder may be applied only in case of genuine theft of the credit card number by a third party (and not when that third party is someone from the cardholder family or the User himself who changed his mind from a transaction). In case of chargeback or denial of transaction that have been requested from the credit card company in spite of the above rules, We shall charge and collect from both the cardholder and User (if not the same person) all its direct and indirect damages resulting from the chargeback.

We will endeavour to deliver your Product by the delivery date set out in the Dispatch Confirmation. Any delivery time indicated therein is provided only as a guide and is not guaranteed. If no delivery date is specified in the Dispatch Confirmation, then we will endeavour to deliver your Product within a reasonable time of the date of the Dispatch Confirmation, unless there are exceptional circumstances.

18.1 Delay

A Registered User will be deemed responsible for a delay in dispatching out a Product if the Registered User has not provided essential information the Company requires in Order to "finalize" it.

This term is intended to apply in situations such as but not limited to (i) if a Registered User wins or buys a computer game but fails to tell the Company which platform the Registered User would like the game supplied upon. (ii) the supply of an Age-Restricted Product (iii) where a Registered User asks for a Product to be delivered to an address that is not verifiable or recognized.

In such situations, the Company will communicate this to the Registered User. This communication can take the form of:

When the Company contacts the Registered User and seeks information, the Registered User must not refuse contact with the Company.

The Registered User must respond within thirty (30) days to any enquiry made from the Company, otherwise the Company may institute its right to temporarily or permanently disqualify the Registered User.

19. RISK AND TITLE

The Product will be at your risk from the time of delivery.

Ownership of the Product will only pass to you upon delivery if we have received full payment of all sums due in respect of the Product, including delivery charges.

20. OUR REFUNDS POLICY

20.1 Products

- Because you have cancelled the Contract between Us within the seven (7) day cooling-off period, we will process the refund due to you as soon as possible and, in any case, within thirty (30) days of the day you have given notice of your cancellation. In this case, we will refund the price you paid for the Product in full, including the cost of sending the item to you. Paid Credit Packs are non-refundable once any Credits from the Pack is used to participate in our auctions, so therefore we recommend Users should purchase only as many Credit Packs as they are willing to use on the bidding process.

Unused Credit Pack/s were no Credits from the Pack has been used in the bidding process is eligible for a refund.

20.3 Free Bids

Free bids are non-refundable.

When a Site Attack occurs, all Auctions are immediately paused until the issue is resolved. When they come back on line, the Company may lengthen or shorten their Countdown Timers as appropriate.

In the event a Site Attack results in an incorrect notification of a win, the Company will contact the Registered User who appears to have 'won' and will explain how and why his offer to buy the Product will not be accepted by the Company. If the Registered User has already made payment of the Winning Bid Price plus Shipping and Handling, the Company will refund the entirety of the amount paid.

In the event the Company can identify elements of a Site Attack, and can identify a pattern in attendance on the WebSite which correlates with Site Attacks, the Company will liaise with the authorities. The Company will pursue legal action against anyone who targets its WebSite and Registered Users, in line with its obligations to ensure a level playing field.

24. YOUR INDEMNITY

A Force Majeure Event includes any act, event, non-happening, omission or accident beyond our reasonable control and includes in particular (without limitation) the following:

- Strikes, lock-outs or other industrial action;

- Civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war;

- Fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster;

- Impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport;

- Impossibility of the use of public or private telecommunications networks, including System Outages; and

- The acts, decrees, legislation, regulations or restrictions of any government.

Our performance is deemed to be suspended for the period that the Force Majeure Event continues, and we will have an extension of time for performance for the duration of that period. Parties will mutually use reasonable endeavours to bring the Force Majeure Event to a close or to find a solution by which obligations under these terms and conditions may be performed despite the Force Majeure Event.

A System Outage may occur, due to an unforeseeable disruption in a system, and some or no Bids will be submitted or logged as a result. In such a case, auctions will be temporarily halted and the remaining times for the auctions and the current highest unique Bidder will be maintained. After the disruption has been resolved, the auctions will be continued. Temporarily halted auctions will be clearly indicated to the extent possible. If you bid on a temporarily halted auction you will have no right to a refund for Bids used or other costs incurred, unless the auction is terminated.

31. GENERAL

Nothing herein shall be deemed to impart any right upon any third party and no person who is not a party to the Contract will have any right to enforce it pursuant to the Contracts (Rights of Third Parties) Act 1999.

If any of these terms and conditions are determined by any competent authority to be invalid, unlawful or unenforceable to any extent, such term or condition will to that extent be severed from the remaining terms and conditions which will continue to be valid to the fullest extent permitted by law.

These terms and conditions and any document expressly referred to in them represent the entire agreement between Us in relation to the subject matter of any Contract and supersede any prior agreement, understanding or arrangement between Us, whether oral or in writing.

We each acknowledge that, in entering into a Contract, neither of us has relied on any representation, undertaking or promise given by the other or be implied from anything said or written in negotiations between Us prior to such Contract except as expressly stated in these terms and conditions.

Neither you nor Us will have any remedy in respect of any untrue statement made by the other, whether orally or in writing, prior to the date of any Contract (unless such untrue statement was made fraudulently) and the other party´s only remedy will be for breach of contract as provided in these terms and conditions.

We reserve the right to take action and/or seek any remedy available under any law and jurisdiction, including injunctive relief, against anyone who, in Our opinion, is in breach of these terms and conditions.
